2. Eligibility and Authority

4. Inquiries, Proposals and Service Agreements

A service engagement begins only when the relevant parties accept a written proposal, statement of work, master services agreement, purchase order or other written contract authorised by Solverix.

Quotes and proposals are valid only for the period stated in them. Unless expressly stated otherwise, taxes, third-party licences, infrastructure, cloud usage, marketplace fees, travel and out-of-scope work may be charged separately under the applicable agreement.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law. Liability relating to a paid client engagement will be governed by the applicable written project agreement rather than this section.
14. Indemnity
To the extent permitted by law, you agree to indemnify and hold Solverix harmless from third-party claims, losses and reasonable costs arising from your unlawful use of the Website, your material breach of these Terms, or content you submit in violation of another person’s rights. This obligation does not apply to the extent a claim results from Solverix’s own unlawful act, negligence or breach.
15. Suspension or Termination of Access
We may suspend, restrict or terminate your access to the Website if we reasonably believe that you have breached these Terms, created a security risk, infringed rights, disrupted the Website or acted unlawfully. Subject to any mandatory rights available under applicable law, the courts located in Mumbai, Maharashtra, India will have exclusive jurisdiction over disputes arising from these Terms or use of the Website. A separate project agreement may specify a different dispute-resolution process for that engagement.
